Terms and Conditions for “31 Websites in 31 Days” Campaign
1. Introduction
These Terms and Conditions (“Agreement”) govern the relationship between Mediaura (“Service Provider”), located in Jeffersonville, Indiana, and the Client (“Client”) for the creation and deployment of websites as part of the “31 Websites in 31 Days” campaign. By engaging Mediaura for this service, the Client agrees to be bound by these terms.
2. Services Provided
- Scope of Work: Mediaura will create and deploy a basic WordPress website for the Client within the specified timeframe.
- Content Responsibility: The Client is responsible for providing all images and copy for the website. If the Client does not provide these materials, Mediaura may use stock images and generic copy.
- Stock Images: If stock images are used, Mediaura will ensure they are licensed appropriately. The Client agrees not to use these images outside the scope of the website without obtaining necessary permissions.
3. Intellectual Property
- Client Content: The Client retains ownership of all content provided to Mediaura, including images and text.
- Stock Images: Mediaura will ensure that any stock images used are properly licensed. The Client agrees not to use these images outside the scope of the website without obtaining necessary permissions.
- Website Design: Mediaura retains all rights to the website design and layout.
4. Liability Limitation
- Indirect Damages: Neither party shall be liable for any indirect, consequential, special, or punitive damages arising from this Agreement.
- Maximum Liability: The maximum liability of Mediaura to the Client for any claim arising from this Agreement shall not exceed the total amount paid by the Client for the services.
5. Indemnification
- The Client agrees to indemnify and hold harmless Mediaura, its directors, agents, and employees against any and all losses, liabilities, costs, and expenses arising from any claim related to the Client’s content or use of the website.
6. Confidentiality
- Both parties agree to maintain the confidentiality of any proprietary information exchanged during the term of this Agreement.
7. Termination
- This Agreement may be terminated by either party upon written notice to the other. Upon termination, Mediaura will cease work on the website, and the Client will pay for all services rendered up to the date of termination.
8. Governing Law
- This Agreement shall be governed by and construed in accordance with the laws of the State of Indiana. Any disputes arising from this Agreement will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
9. Entire Agreement
- This Agreement constitutes the entire understanding between the parties and supersedes all prior negotiations, understandings, and agreements between the parties.
10. Amendments
- This Agreement may not be amended except in writing signed by both parties.
By checking the box and completing payment, the Client acknowledge that they have read, understand, and agree to be bound by these Terms and Conditions.
